商業契約の作成・交渉・レビューに加え、規制対応、ガバナンス、リスクマネジメントに関する法的助言を通じて、事業成長とコンプライアンスの両立および経営判断の質向上を支えていただきます。

また、クロスファンクショナルなプロジェクトへの参画や外部弁護士との連携、社内コンプライアンス体制の強化にも携わり、組織全体の法務機能の高度化に貢献いただきます。

• 商事・コンプライアンス・コーポレート領域を中心に、事業部門および経営層に対して戦略的な法的助言を提供
• 事業成長を支える各種商業契約のドラフト、レビューおよび交渉対応
• 規制、競争法、ガバナンス、リスクマネジメントに関する法的アドバイザリー業務
• 複数部門にまたがるクロスファンクショナルプロジェクトのリードおよび調整
• 法務・コンプライアンス研修および体制整備を通じた組織能力の強化
• 外部弁護士のマネジメントおよび必要に応じた紛争対応支援
• 法務・商業・事業上のリスクバランスを踏まえた経営判断への影響・助言

An exciting opportunity is available for an experienced Senior Legal Counsel to join a global healthcare technology leader in Tokyo. Working closely with senior business leaders, you will provide strategic legal guidance across commercial, operational, and corporate initiatives while helping shape business decisions in a highly regulated industry. This role is ideal for a commercially minded legal professional who thrives in a collaborative international environment and enjoys partnering with executive stakeholders to drive business success.

• Provide strategic legal advice to senior business leaders on commercial, operational, governance, and corporate matters.
• Draft, review, and negotiate a broad range of commercial agreements that support business growth and strategic initiatives.
• Advise on regulatory compliance, competition law, corporate governance, and enterprise risk management.
• Lead complex cross-functional legal projects involving multiple business units and regional stakeholders.
• Develop and deliver legal training and compliance programmes that strengthen organisational capabilities and risk awareness.
• Manage relationships with external legal counsel while supporting dispute resolution and litigation matters when required.
• Partner with leadership teams to balance legal, commercial, and operational risks while enabling sustainable business growth.

必須条件経験・資格：

• 日本または海外の弁護士資格 （日本の弁護士資格保有者歓迎）
• 弁護士資格取得後の実務経験（商事・契約法務を中心とした複雑な案件対応経験）5年以上
• 経営層および事業部門と直接連携しながら、法務案件・プロジェクトをリードした経験
• 契約交渉、リスクマネジメント、商事法務に関する実務経験および高い専門性
• ヘルスケア、ライフサイエンス、製薬、医療機器など規制業界における経験（但し応相談）

• ビジネス視点を持ち、実践的な法務アドバイスができる方
• 経営層や海外チームと信頼関係を構築できるコミュニケーション能力
• 優れた交渉力、ステークホルダーマネジメント力
• 複雑な課題に対して的確な判断ができる論理的思考力
• 複数案件を主体的かつ柔軟に推進できるプロジェクトマネジメント能力

• Qualified lawyer in Japan or another major jurisdiction, with Japanese legal qualification preferred.
• At least 5 years of post-qualification experience handling sophisticated commercial legal matters.
• Proven experience partnering directly with senior executives and advising business leaders on strategic legal issues.
• Strong expertise in commercial contract negotiation, legal risk management, and corporate advisory work.
• Experience within healthcare, pharmaceuticals, medical devices, life sciences, or other highly regulated industries is highly desirable.
• Experience supporting multinational organisations and leading cross-functional legal projects is an advantage.
• Background managing enterprise-wide legal or compliance initiatives is preferred.
