当社では、法務責任者のもと、海外案件を中心とした企業法務、資金調達、M&Aなどを幅広く担当していただく法務マネージャーを募集しています。

海外における増資・借入、企業買収、投資先の管理、グループ会社のガバナンスなど、当社の事業拡大に伴う重要案件を法務面から推進していただきます。また、各事業部門から寄せられる日常的な法務相談にも対応していただきます。

業務内容：

海外における増資・資本調達

• 海外投資家からの資金調達に関する契約書、定款その他の会社関係書類、社内承認書類の作成・審査および契約交渉
• 法務デューデリジェンスから契約締結、払込み・取引完了までの一連の手続の進行管理
• 外部弁護士、投資家および投資家側の弁護士との折衝・調整

国内外の借入・資金調達

• 国内外における借入等の資金調達に関するスキームの検討
• 金銭消費貸借契約、担保関連契約その他の融資関係書類の作成・審査および契約交渉
• 金融機関、外部弁護士および社内関係部門との連携・調整ならびに案件の進行管理

M&A

• 国内外のM&A案件における法務デューデリジェンス、取引スキームの検討、契約書等の作成・審査および契約交渉
• 契約締結から取引完了までの各種手続の対応・進行管理
• 外部弁護士および社内の事業部門・関係部門との連携・調整

投資実行後の管理・グループ会社のガバナンス

• 投資契約等に定める義務の履行状況、投資家に付与された権利および会社運営上の各種要件に関する管理・対応
• 取締役会・株主総会の議案、議事録、決議書等の作成・審査
• 会社関係書類・法定書類の整備および管理
• 国内外のグループ会社におけるガバナンス体制の整備・運用支援
• 資本構成の変更、新株発行、役職員向け株式報酬制度、追加の資金調達など、投資実行後に必要となる会社法上の手続への対応

Position Summary

We are seeking an experienced Legal Manager to support the Legal Director on a broad range of cross-border corporate, financing and M&A matters. This role will play a key part in the execution of the Company's international equity financing, debt financing, acquisitions, post-investment management and corporate governance matters, while also providing day-to-day legal support to the business.

Key Responsibilities:

Cross-border Equity Financing

• Support cross-border equity financing transactions, including reviewing and negotiating investment documents, constitutional documents and corporate approvals.
• Coordinate legal due diligence, transaction execution and closing processes.
• Liaise with external counsel, investors and investors' legal counsel throughout the transaction process.

Cross-border Debt Financing

• Support domestic and cross-border debt financing transactions, including financing structure design, review and negotiation of financing documents and security arrangements.
• Coordinate with lenders, external counsel and internal stakeholders to facilitate successful transaction execution.

Mergers & Acquisitions

• Support domestic and cross-border M&A transactions, including legal due diligence, transaction structuring, document review, negotiation, signing and closing.
• Coordinate with external counsel and internal business teams throughout the transaction lifecycle.

Post-investment Management & Corporate Governance

• Support post-investment legal matters, including ongoing compliance with transaction documents, investor rights and corporate governance requirements.
• Prepare and review board and shareholder resolutions, maintain corporate records and support corporate governance across the Group.
• Support post-closing corporate actions, including capital restructuring, equity issuances, employee equity incentive plans and future financing activities.

応募資格

必須要件

• 法学の学位、法務博士、またはこれらに相当する学位を有する方
• 大手・有力法律事務所、外資系企業、多国籍企業等における3年以上の法務実務経験
• 海外投資家からの資金調達、国内外の借入、M&Aおよび会社法・ガバナンス分野に関する実務経験
• 複雑な取引契約の作成・審査および契約交渉の経験
• 海外案件において、社内外の関係者を調整し、案件を推進した経験
• 法的文書の作成力、交渉力、関係者との調整力および案件管理能力
• 変化の速い国際的な事業環境において、自ら判断し、主体的に業務を進められる方
• 業務上必要な水準の英語力（読み書き・会話ともに必須）
• 中国語での業務対応が可能な方は尚可

Qualifications

Required

• Law degree (LL.B., J.D. or equivalent).
• 3+ years of legal experience in a reputable law firm and/or multinational company.
• Solid experience in cross-border equity financing, debt financing, M&A and corporate governance.
• Experience reviewing and negotiating complex transaction documents and coordinating cross-border transactions.
• Strong communication, drafting, negotiation and project management skills.
• Ability to work independently in a fast-paced international environment.
• Strong written and verbal communication skills in English are required. Proficiency in Mandarin is preferred.
