• 日本およびAPAC地域におけるエクイティリンク型ファイナンス取引のストラクチャリングおよび実行支援（PIPE、第三者割当など）
• タームシート、サブスクリプション契約、エクイティリンク証券などの契約書作成・交渉
• 取引スピードとリスク管理の両立を目的とした社内法務プロセス・ワークフローの構築
• 日本法人の設立、ガバナンス管理、規制対応に関する法務対応
• グローバル法務チームと連携したポリシー整備およびリスク管理戦略の統一
• 複数案件における外部法律事務所のマネジメントおよび案件進行管理
• 金融機関、発行体、法律事務所との関係構築およびマーケット情報収集

Join a global investment platform as Head of Legal for Japan, leading legal operations supporting complex capital markets and equity-linked investment transactions across Japan and APAC. This senior in-house legal position will play a strategic role in structuring and executing sophisticated investment transactions while ensuring strong governance and regulatory compliance.

Working closely with international legal teams, financial institutions, and regulators, you will support the expansion of the firm's investment activities while building the legal infrastructure necessary to operate within global capital markets.

• Lead the structuring and execution of equity-linked financing transactions across Japan and APAC, including PIPE investments and third-party allotments.
• Draft and negotiate transaction documentation, including term sheets, subscription agreements, and equity-linked instruments.
• Design internal legal workflows and governance frameworks that balance transaction speed with appropriate risk controls.
• Manage Japan entity establishment, governance matters, and regulatory coordination with advisors and regulators.
• Collaborate with international legal teams to align legal policies, risk management strategies, and transaction precedents.
• Oversee and coordinate external legal counsel across multiple transactions.
• Build relationships with financial institutions, issuers, and law firms to support deal execution and market intelligence.

必須条件 経験・資格：

• 日本の弁護士資格
• 法律事務所、または高度なプラットフォームを持つ企業でのインハウス経験7〜12年以上（72期〜67期目安）
• 上場企業の資金調達案件（PIPE、第三者割当等）の実務経験
• 転換社債、ワラント、ライツオファリング等のエクイティリンク商品に関する知識・経験
• 日本の開示規制、インサイダー取引規制、証券規制に関する実務知識
• APACまたは国際資本市場取引の経験

• 法務や金融の複雑な概念をビジネス部門へ分かりやすく説明できる能力
• スピード感が求められる環境でのプロジェクトマネジメント能力
• 契約条件が取引に与える影響を理解できる鋭敏なビジネス感覚
• 目標に向かって自律的・実務的に動く姿勢
• 優れた判断力

• 日本語：ネイティブレベル

• Qualified Japanese lawyer (弁護士) with approximately 7-12+ years of legal experience in a leading law firm or sophisticated in-house environment.
• Direct experience advising on public company financing transactions in Japan, including PIPE or third-party allotments.
• Strong familiarity with equity-linked instruments such as convertible bonds, warrants, or rights offerings.
• Experience navigating Japanese securities regulations, disclosure rules, and insider trading frameworks.
• Exposure to international capital markets transactions across APAC or global markets.

• Ability to explain complex legal and financial concepts clearly to business stakeholders.
• Strong project management capability in fast-paced transactional environments.
• Commercial mindset with understanding of how legal terms influence transaction economics.
• Independent and pragmatic decision-making ability with strong judgment.

• Japanese: Native level
• English: Fluent

• Experience with derivatives documentation such as ISDA agreements or structured equity transactions.
• Background within investment management, financial services, or capital markets platforms.
• Experience establishing governance frameworks or legal structures for new market operations.
