具体的には、複雑なサービス契約やSaaS取引に関する法務アドバイスを提供し、マネージドサービスの構築や高額取引の交渉を主導します。さらに、規制対応、クロスボーダー案件、ガバナンス構築にも関与。

• 大規模かつ複雑なサービス契約・ソリューション契約に関する交渉およびディールマネジメントの主導
• マネージドサービスおよびSaaSモデルにおける構築・提供スキームに関する法務的サポート
• 日本＆APAC地域における規制対応、ならびに商事法務に関する助言の提供
• 日本・APACが関わるクロスボーダー案件への対応（海外の法務チームおよびビジネスリーダーと連携）
• 契約書テンプレート、プレイブック、法務関連プロセスの整備・最適化の推進
• 営業・商業チームと密に連携し、戦略的重要性の高い取引のクロージングを法務面から支援すること
• 経営陣と連携したガバナンス体制・コンプライアンス施策の立案および実行支援

A global technology leader is seeking a Legal Counsel to advise on complex services and SaaS transactions within its expanding solutions business. You will negotiate and manage high-value commercial deals, support managed services structuring, and collaborate with global legal and business teams on regulatory and cross-border issues. This role offers the opportunity to influence strategy while ensuring compliance and operational excellence in a fast-growing international environment.

• Negotiate and manage large-scale, complex services and solutions agreements.
• Provide legal support for structuring managed services and SaaS offerings.
• Advise on regulatory and commercial legal issues across Japan and APAC.
• Collaborate with global legal teams and senior business leaders on cross-border matters.
• Develop templates, playbooks, and legal processes to improve business efficiency.
• Partner with sales and commercial teams to close strategic transactions.
• Support leadership on governance and compliance initiatives.

必須条件 経験・資格：

• 企業法務または商事法務経験12年以上
• サービス契約、SaaS、テクノロジー関連取引における豊富な経験
• 規制対応やクロスボーダー法務のアドバイザリー経験

• 経営陣やシニアステークホルダーに対して積極的かつ自信を持って助言できること
• 複雑な環境での問題解決力と意思決定力

• 12+ years in corporate or commercial law, with in-house exposure strongly preferred.
• Strong background in services, SaaS, or technology-related transactions.
• Proven ability to advise on regulatory and cross-border legal matters.
• Proactive, confident, and comfortable advising senior leadership.
• Strong problem-solving and decision-making skills in complex environments.

• Japanese: Fluent proficiency.
