職務内容

■案件獲得後、PJメンバーの一員として、主に知財関連のコンサルティング、および知財が関係する取引におけるFA・DD・Valuation業務を担当いただきます

■主な業務内容
①Due Diligence / Valuation
・知的財産デューデリジェンス、知的財産価値評価/ロイヤルティ料率検討・対価設計支援/知的財産関連訴訟支援、PPA / 減損テスト

②Execution
・ライセンス契約交渉支援、知的財産売買交渉支援

③組織再編・権利移転スキーム検討
・知的財産に係る管理体制検討支援、権利移転スキーム検討支援

④コンサルティング / リサーチ
・知的財産戦略策定支援、協業・M&A候補先選定支援、知的財産起点の新規事業戦略立案、技術・市場・企業動向調査/知的財産調査

⑤その他サービス
・よろず相談（知的財産顧問契約）、知的財産に係る研修・セミナー実施

Job description
■ After winning the project, as a member of PJ, you will be mainly in charge of IP-related consulting and FA / DD / Valuation work in IP-related transactions.

■ Main work content
① Due Diligence / Valuation
・ Intellectual property Dew Deligence, Intellectual Property Value Evaluation / Intellectual Property Rate Examination / Consideration Design Support / Intellectual Property Related Litigation Support, PPA / Impairment Test

②Execution

・ License Contract Negotiation Support, Intellectual Property Trading Negotiation Support

③Reorganization

・ Right Transfer Scheme Examination
・ Support for studying management systems related to intellectual property, support for studying rights transfer schemes

④ Support for consulting / Research
・ Intellectual property strategy formulation, support for collaborative / M & A candidate selection, planning of new business strategies based on intellectual property, technology / market ・Corporate trend survey / Intellectual property survey

⑤ Other services
・ Consultation (intellectual property advisory contract), training and seminars on intellectual property

【知財系バックグラウンドの方】
以下のいずれかの実務経験者（3年以上が望ましい）
①事業会社の知財部
②事業会社の経営企画・事業開発
③法律事務所・特許事務所
④コンサルティング会社
上記の実務経験を有し、かつ以下のいずれかに該当する者が望ましい
①弁護士、弁理士、知的財産アナリスト等の有資格者（試験合格者）
②「知財」×「会計」の領域に関心があり、チャレンジしたい方
③会計系の知識・経験があればなお可

【会計系バックグラウンドの方】
以下のいずれかの実務経験者（3年以上が望ましい）
①金融機関、証券会社、ファンド等での投資業務（M&A、コーポレートファイナンス系）
②事業会社の経営企画・事業開発
③監査法人、FAS系ファーム
④コンサルティング会社
上記の実務経験を有し、かつ以下のいずれかに該当する者が望ましい
①公認会計士、USCPA、税理士等の有資格者（試験合格者）
②「会計」×「知財」の領域に関心があり、チャレンジしたい方
③知財系の知識・経験があればなお可
