Overview

Our client is a leading foreign asset management company in Japan seeking a Legal VP for a brand new role supporting investment management and fund activities. This position offers a direct career path to Managing Director and the chance to work on a new fund launch with a prestigious banking partner. The role features a highly competitive salary of JPY 25M, a hybrid work style with two days remote, and employment in a 100% employee-owned company.

Key Responsibilities:

• Provide legal support for investment fund formation and management
• Advise on regulatory filings with FSA for investment trusts and funds
• Support legal matters for private equity, direct lending, and real estate investments
• Advise on sub-advisory arrangements and local distribution agreements
• Provide corporate legal advice on shareholder and board meeting procedures
• Handle employment and labor law issues within the company
• Monitor and interpret changes in Japanese financial and corporate regulations
• Coordinate legal support for Korean subsidiary’s investment structures
• Draft and negotiate contracts related to investment management and fund activities
• Report regularly to senior management on legal risks and compliance status
• Lead legal due diligence for new fund launches and partnerships

Requirements:

• Bengoshi qualification (mandatory)
• Native Japanese language proficiency (mandatory)
• Business-level English proficiency (mandatory)
• 3+ years legal experience in finance or asset management (mandatory)
• Experience with FIEA and FSA regulatory filings
• Knowledge of investment fund structures including private equity and real estate funds
• Expertise in corporate law including shareholder and board meeting procedures
• Familiarity with employment and labor law in Japan
• Experience advising on sub-advisory and distribution agreements
• Ability to monitor and interpret changes in Japanese financial regulations
• Experience working with Korean subsidiary legal matters is preferred but not mandatory
• Strong contract drafting and negotiation skills
• Experience with discretionary investment management and model portfolio services

応募資格：

• 弁護士資格（必須）
• 日本語ネイティブレベル（必須）
• ビジネスレベルの英語力（必須）
• 金融または資産運用分野での法務経験3年以上（必須）
• 金融商品取引法および金融庁規制申請の経験
• プライベートエクイティおよび不動産ファンドを含む投資ファンド構造の知識
• 株主総会および取締役会の手続きに関する企業法務の専門知識
• 日本の雇用および労働法に関する知識
• サブアドバイザリーおよび流通契約に関する助言経験
• 日本の金融規制の変更を監視し解釈する能力
• 韓国子会社の法務対応経験は望ましいが必須ではない
• 契約書作成および交渉能力に優れていること
• 裁量投資運用およびモデルポートフォリオサービスの経験
