Our client, a leading global finance firm, is seeking a Vice President, In-House Counsel to join their expanding legal team. This role offers the opportunity to work closely with business, compliance, and legal colleagues on securities and derivatives transactions, enhancing your expertise in Japanese law and cross-border markets transactions. Key Responsibilities:


- Draft and review securities transaction documents
- Negotiate transaction terms and contract provisions
- Advise on Japanese law and cross-border regulations
- Partner with teams for regulatory compliance
- Manage external counsel engagements and deliverables
- Support new financial product initiatives
- Participate in regulatory change projects


- 証券取引関連文書の作成およびレビュー
- 取引条件や契約条項の交渉
- 日本法およびクロスボーダー規制に関する助言
- 規制遵守のためのチームとの連携
- 外部法律顧問の管理および成果物の監督
- 新しい金融商品イニシアチブのサポート
- 規制変更プロジェクトへの参加



Qualifications:


- Must be a Japanese Bengoshi
- 3+ years PQE in contract drafting and negotiation
- Native-level Japanese proficiency
- Fluent-level English proficiency
- Experience with ISDA Master Agreement and similar contracts is preferred but not mandatory
- Experience in financial transactions is preferred but not mandatory

- ISDAマスター契約や類似契約の経験があれば尚良し
