【業務内容】
中小企業のM&A案件において、財務デューデリジェンスのリード・実行をはじめ、財務分析・財務モデル作成、Quality of Earnings／Quality of Revenue・運転資本分析を通じたリスク・機会の特定、および投資判断に必要な示唆の整理・レポーティングを担っていただきます。

• 中小企業のM&A案件における財務デューデリジェンス業務のリードおよび実行
  （財務諸表分析、過去実績の検証）
• 財務分析・財務モデルの作成（PL／BS／CF、フリーキャッシュフロー、感応度分析等）
• Quality of Earnings／Quality of Revenue、運転資本分析を通じたリスク・機会の特定
• 法務・税務・オペレーションチームと連携し、投資判断に必要な示唆を整理・レポーティング
• LOI・買収契約に関する財務面での支援、成果物のレビューおよび品質管理

【Job Responsibilities】
In SMB M&A deals, you will lead and execute financial due diligence, build financial analyses and models, identify risks and opportunities through Quality of Earnings / Quality of Revenue and working capital analysis, and organize and report the insights needed for investment decisions.

• Lead and execute financial due diligence on SMB M&A deals (financial statement analysis, verification of historical performance)
• Build financial analyses and models (P&L / BS / CF, free cash flow, sensitivity analysis, etc.)
• Identify risks and opportunities through Quality of Earnings / Quality of Revenue and working capital analysis
• Partner with legal, tax, and operations teams to organize and report insights needed for investment decisions
• Support the financial aspects of LOIs and acquisition agreements, and review and quality-control deliverables

【必須要件】

• 会計・FAS・PE・トランザクションアドバイザリー等での3年以上の実務経験
• 中小〜中堅企業の財務分析・評価経験（買い手側経験が望ましい）
• 財務・税務（レポーティング）に関する実務知識
• Excelを中心とした高い分析スキルおよび資料作成能力
• 主体的に業務を推進できる自走力と、チーム横断で協働できるコミュニケーション力

• CPA／CA／CFA等の資格保有
• ミッド・スモールキャップのM&A・評価経験
• バイリンガル（英語）

【Requirements】

• 3+ years of experience in accounting, FAS, PE, or transaction advisory
• Experience analyzing/valuing small to mid-sized companies (buy-side experience preferred)
• Practical knowledge of finance and tax (reporting)
• Strong analytical skills centered on Excel, and the ability to produce materials
• A self-starter who can drive work independently and communicate across teams

【Preferred Requirements】

• CPA / CA / CFA or similar qualification
• Mid/small-cap M&A or valuation experience
• Bilingual (English) — not required
