• クラアイント（主に多国籍企業）への、クロスボーダーM&A取引に関する法務アドバイスの提供
• 株式譲渡契約（SPA）やジョイントベンチャー契約などの契約書作成・交渉
• 複数の法域にまたがる案件について、海外オフィスや専門チームとの連携
• クライアントの法務デューデリジェンスやディールストラクチャリング、規制対応支援
• テクノロジー、インフラ、エネルギー分野のシニア弁護士やパートナー弁護士のサポート
• プライベートおよびパブリックM&A案件の実行支援

Join a leading international law firm in Tokyo as a Cross-Border M&A Associate, advising multinational clients on complex global mergers and acquisitions transactions. This role offers the opportunity to work on high-value cross-border deals across multiple jurisdictions, supporting global corporations, private equity investors, and financial institutions.

You will collaborate closely with partners and international teams on strategic transactions across technology, infrastructure, and energy sectors, gaining exposure to sophisticated global deal execution and international legal practices.

• Advise multinational clients on complex cross-border mergers and acquisitions transactions.
• Draft and negotiate transaction documentation, including share purchase agreements and joint venture agreements.
• Coordinate with international offices and multidisciplinary legal teams on multi-jurisdictional transactions.
• Support legal due diligence, transaction structuring, and regulatory considerations for global deals.
• Work closely with partners and senior lawyers on technology, infrastructure, and energy sector transactions.
• Contribute to the execution of both private and public M&A transactions involving global clients.

必須条件経験・資格：

• 弁護士資格
• 企業法務、またはM&A法務の実務経験（PQE4〜8年程度 / 74期〜70期目安）
• 法律事務所におけるクロスボーダーM&A案件の実務経験
• 株式譲渡契約など主要取引契約書の作成経験
• 多国籍企業、金融機関、またはPEファンドへの法務アドバイス経験

• 複雑なディールの仕組みを理解できること、またそのビジネス感覚
• 複数案件を同時に進められるタスク管理能力
• 海外クライアントや国際チームと連携できるコミュニケーション能力
• チームワーク
• 細部まで正確に仕事を進める能力
• 注意を配る正確性

• 日本語：ネイティブレベル
• 英語：ビジネスレベル

• テクノロジー、インフラ、エネルギー分野のM&A案件経験
• 外資系法律事務所、または国際案件に強い事務所での経験
• プライベートエクイティ投資案件や投資取引の経験

• 4-8 years of post-qualification experience in corporate law or M&A transactions.
• Experience working on cross-border M&A transactions within a law firm environment.
• Strong experience drafting core transaction documents such as purchase agreements and joint venture contracts.
• Experience advising multinational corporations, financial institutions, or private equity investors.

• Strong commercial awareness and the ability to understand complex deal structures and business objectives.
• Ability to manage multiple workstreams in fast-paced transactional environments.
• Excellent communication skills when working with international clients and global legal teams.
• Strong attention to detail with a collaborative, team-oriented mindset.

• Japanese: Native level
• English: Fluent
