[C] 法務部員 Legal Counsel

[職務内容]
多様な事業部門（自動車部品、産業機器、電動工具、エンジニアリングサービス等）への法的サポートを提供する役割を担い、具体的には以下の業務に従事します。

1. 契約締結のサポート（内容検討、交渉など）：売買契約、秘密保持契約、開発契約、業務委託契約、ライセンス契約など。
2.  事業部のビジネスに対する法的アドバイス提供：ビジネスモデルの作成支援など、法務的観点からの戦略サポートを実施します。
3. コンプライアンス・ガバナンスの推進：独占禁止法に関する事案への対応・コンプライアンス教育の実施、個人情報保護法に関する事案への対応、会社法対応（株主総会等）など。
4. 企業再編（M&A）のサポート：国内案件だけでなく、グローバルな案件において各国のチームと連携してM&Aを推進します。
5. 紛争解決、危機管理のサポート: 取引先（顧客、サプライヤー等）との契約関連の紛争、その他のトラブル案件の解決をサポートします。
6. 国内関係会社に対する法務サポート：日本のボッシュグループ企業に対して、上記1～5の法務サポートを提供します。

Provide legal support to various business divisions (e.g. automotive, industrial equipment, power tools, engineering services). In particular, we handle the following tasks:

1. Support contract negotiations (including reviewing and negotiating terms): for various types of contracts such as sales and purchase agreements, non-disclosure agreements, development agreements, outsourcing agreements, and licensing agreements.
2.  Provide legal advice and support for the business divisions: assistance in creating business models and strategic support from a legal perspective.
3. Promote compliance and governance: handling cases related to antitrust law compliance (including internal trainings), personal data protection law, and companies act (e.g. shareholders meeting)
4. Support corporate restructuring (M&A) activities: not only for domestic cases, but also for global M&A with close collaboration with legal teams in other countries
5. Provide support for dispute resolution and crisis management: contract related disputes with business partners (customers, suppliers, etc.) and other types of troubles in business
6. Provide support for Bosch group companies in Japan: provide legal supports listed above No.1 to 5 for Bosch group companies in Japan

• The Legal Department of Bosch Corporation is regarded as a part of the headquarters' legal function of Bosch Group, a leading global automotive component supplier. The Legal Department plays a role in providing legal supports for matters related to Japanese law or Japanese business partners (customers, suppliers, etc.) which occur in Japan as well as in other countries.
• Individuals in the Legal Department can enhance their expertise as legal professionals through providing supports for contract negotiations with major business partners in the automotive industry (Japanese car manufacturers, etc.), as well as conducting detailed research and analysis on Japanese regulations and providing solutions based on the research and analysis.
• Also, there are many opportunities to collaborate with legal teams located in various countries around the world (Germany, etc.) and support the activities of overseas business divisions, allowing for the accumulation of international business experience. Additionally, there is potential to contribute to the overall success of the Bosch Group through these activities.

■必須の経験・スキル・バックグラウンド/Required Experience, Skills, and Background:

• 企業の法務部門での実務経験 7年以上 又は 国内・海外の弁護士としての実務経験 5年以上
• 英文契約のレビュー、英語でのプレゼンテーション・トレーニング等、英語で業務を行った経験
• 読み書き及び会話におけるビジネスレベルの英語コミュニケーション能力（TOEIC L&R 800点以上）
• 読み書き及び会話におけるネイティブレベルの日本語コミュニケーション能力（日本語ネイティブではない方の場合）
   
• More than 7 years of practical experience in corporate legal departments, or more than 5 years of practical experience in law firms
• Experience in using English in daily works such as reviewing contracts in English, conducting presentations or trainings in English
• Business-level English communication skills in reading, writing, and conversation
• Native-level Japanese communication skills in reading, writing, and conversation (for non-native Japanese speakers)

• 自動車関連ビジネス、ソフトウェアビジネス、製造業のビジネスをサポートした経験
• 法務部門の経験者については、国内または海外の弁護士資格
• 弁護士実務の経験者については、企業の法務部門での業務経験
• 管理職の経験又はチームメンバーの指導・育成経験
• 英語での契約交渉の経験、海外での就労経験
• 上場会社の法務部門での勤務経験
   
• Experience supporting automotive, software, or other manufacturing businesses
• Qualification as lawyer in Japan or other countries, for candidates having practical experience only in corporate legal departments
• Work experience in a legal department, for candidates having practical experience only in law firms
• Experience in team management or supporting development of team members
• Experience in contract negotiations in English and working abroad
• Work experience in the legal department of a publicly listed company
